Filesign helps teams prepare, send, sign, track, and manage business document workflows. These terms explain the practical rules for accounts, documents, subscriptions, service use, and support.

Overview
These Terms of Service govern access to and use of Filesign, a SaaS product for preparing, sending, signing, tracking, and managing business document workflows.
By creating an account, accessing a workspace, sending a signature request, signing a document, or otherwise using Filesign, you agree to these terms on behalf of yourself or the organization you represent.
This is a founder-ready draft for launch planning. It should be reviewed by counsel before launch to confirm the final legal entity, jurisdiction, plan terms, liability language, and product behavior.
The Service
Filesign provides tools for document upload, recipient management, signing-field preparation, signature requests, status tracking, audit trails, and related workflow records.
The product may change over time as features are added, improved, limited, renamed, or removed. We may modify the service where needed for reliability, security, compliance, customer feedback, or commercial reasons.
Account Eligibility
You must be at least 18 years old and legally able to enter into an agreement to use Filesign. If you use Filesign for a company or other organization, you represent that you have authority to bind that organization to these terms.
You agree to provide accurate account and workspace information, keep that information current, maintain the confidentiality of your login credentials, and take responsibility for activity under your account.
You may not create accounts through automated means, impersonate another person or organization, or use Filesign if you are prohibited from doing so under applicable law.
Workspaces and Recipients
Workspace owners and administrators are responsible for deciding who may access a workspace, which documents may be sent, which recipients are invited, and what permissions or roles apply.
Recipients who receive signing requests may be asked to view, complete, sign, or approve documents. You are responsible for ensuring recipients are correct, authorized, and appropriate for the workflow.
Filesign may generate workflow records such as timestamps, completion status, recipient activity, audit events, and completion certificates. You should confirm these records are suitable for your legal and operational needs.
Acceptable Use
You may use Filesign only for lawful business and professional purposes. You may not use Filesign to send unlawful documents, impersonate others, mislead recipients, violate privacy rights, or obtain signatures through fraud, coercion, or deception.
You may not upload malicious code, attack or disrupt the service, scrape or harvest data, bypass access controls, probe systems without permission, reverse engineer the product, or use Filesign in a way that harms other users, recipients, infrastructure, or providers.
We may suspend or restrict access if we reasonably believe activity violates these terms, creates security risk, causes operational harm, or exposes Filesign, customers, recipients, or providers to legal risk.
Subscriptions and Billing
Filesign may offer free, trial, paid, usage-based, or subscription plans. Plan features, limits, pricing, renewal dates, taxes, and billing intervals should be shown during checkout, in account settings, or in an order form.
If you choose a paid plan, you authorize the payment provider to charge the selected payment method for recurring fees, usage charges, taxes, and other amounts described at checkout or in the applicable order form.
Unless the product or an order form says otherwise, subscriptions renew automatically until canceled. Cancellations generally stop future renewals and do not automatically refund prior charges except where required by law or stated in a separate refund policy.
If payment fails, usage exceeds plan limits, or billing information is not kept current, we may limit access to paid features, pause document sending, lock some workspace functionality, or require a plan change before access is restored.
Third-Party Services
Filesign relies on third-party services for hosting, authentication, database, storage, email, analytics, logging, support, payment processing, and other operational needs.
Expected providers include Vercel for hosting and release workflows, Supabase for database and authentication foundations, and Resend for transactional email. Additional providers may be added as the product evolves.
Third-party services may have their own terms, policies, regions, limitations, and availability. We are not responsible for third-party services outside our reasonable control, but we will aim to choose providers appropriate for a business document workflow product.
Customer Content and Data
You retain ownership of documents, recipient details, messages, signing fields, workspace content, and other materials you submit to Filesign.
You grant Filesign a limited right to host, process, transmit, display, store, and otherwise use customer content as needed to provide the service, support users, secure the platform, maintain records, comply with law, and improve reliability.
You are responsible for the legality, accuracy, completeness, suitability, and permissions for customer content, including any personal information or confidential material included in documents or recipient workflows.
Intellectual Property
Filesign, including its software, interface, workflows, brand elements, documentation, designs, and product methods, is owned by <brand> LLC or its licensors.
Subject to these terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use Filesign for your own business document workflows.
You may not copy, modify, resell, sublicense, distribute, or create derivative works from Filesign except where we have given written permission or where applicable law allows it.
Feedback is welcome. If you send ideas, suggestions, or product requests, you allow us to use them without restriction or payment, while you retain ownership of any customer content you provide.
Disclaimers
Filesign is a document workflow tool. It does not provide legal, tax, regulatory, compliance, financial, or other professional advice.
You are responsible for deciding whether an electronic signature workflow, document, audit trail, authentication method, or completion certificate is valid and appropriate for your use case and jurisdiction.
Filesign is provided on an as-is and as-available basis to the maximum extent permitted by law. We do not promise that the service will be uninterrupted, error-free, perfectly secure, or suitable for every regulated or high-risk workflow.
Limitation of Liability
To the maximum extent permitted by law, <brand> LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or reputational harm.
To the maximum extent permitted by law, our total liability for claims relating to Filesign should be limited to the fees paid for the service during the relevant period, or another amount confirmed by counsel before launch.
Nothing in these terms is intended to limit liability where doing so would be unlawful, including liability that cannot be excluded or limited under applicable law.
Termination
You may stop using Filesign at any time. Workspace owners may be able to cancel subscriptions, remove users, export available records, or delete documents depending on the features available in the product.
We may suspend or terminate access if you breach these terms, fail to pay applicable fees, create security or legal risk, misuse the service, or if continued access would harm Filesign, customers, recipients, providers, or infrastructure.
After termination, your right to use Filesign ends. Some records may remain for backups, billing, audit trails, legal compliance, dispute resolution, security, or operational reasons as described in the privacy policy and final product settings.
Changes to Terms
We may update these terms as Filesign changes, as plans or providers change, or as legal and operational requirements evolve.
For material changes, we may provide notice through the product, by email, or by another reasonable method. Continued use of Filesign after updated terms become effective may constitute acceptance of those updated terms.
Governing Law
These terms should be governed by the laws of [Governing Law Placeholder], without regard to conflict-of-law rules.
Any venue, jurisdiction, arbitration, class-action waiver, consumer-rights, and dispute-resolution language should be reviewed and completed by counsel before launch.
